1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Receptri platform ("Service"), operated by Ruposhi Global Limited, registered in England and Wales (Company number 14162541) ("we", "us", "our").

By creating an account or using our Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Service Description

Receptri provides an AI-powered receptionist platform that answers phone calls and website chat enquiries on behalf of your business. The Service includes: AI phone answering with human-like voice, website chat widget, knowledge base management, call analytics, phone number provisioning, and related features as described on our website.

The Service uses artificial intelligence to generate responses. While we strive for accuracy, AI-generated responses may occasionally be inaccurate or incomplete. You are responsible for reviewing and maintaining the knowledge base that informs your AI receptionist's responses.

3. Account Registration

To use our Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access to your account.

You must be at least 18 years old and have the legal capacity to enter into these Terms. The Service is intended for business use only.

4. Free Trial

We may offer a free trial period for new accounts. During the trial, you will have access to limited features as described on our pricing page. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access will be restricted and any provisioned phone numbers may be released.

We reserve the right to modify or discontinue the free trial at any time without notice.

5. Subscription and Payment

Paid plans are billed on a monthly or annual basis as selected at checkout. All prices are displayed in GBP, USD, or EUR and are inclusive of applicable taxes unless otherwise stated.

Payments are processed securely by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis. You can cancel your subscription at any time through your billing settings. Upon cancellation, you will retain access to the Service until the end of your current billing period.

We reserve the right to change our pricing with 30 days' notice. Price changes will take effect at the start of your next billing period after the notice period.

Refunds are handled on a case-by-case basis. If you are dissatisfied with the Service within the first 14 days of your paid subscription, contact us to discuss a refund.

6. Acceptable Use

You agree not to use the Service to:

Engage in any unlawful, fraudulent, or deceptive activity. Make or facilitate spam calls, robocalls, or unsolicited marketing calls. Impersonate any person or entity, or misrepresent your affiliation. Upload content that is illegal, harmful, defamatory, obscene, or infringes on intellectual property rights. Attempt to gain unauthorised access to the Service, other accounts, or related systems. Interfere with or disrupt the Service or its infrastructure. Use the Service to process or store sensitive personal data (such as health records or financial account numbers) unless your plan specifically supports this. Resell or redistribute the Service without our written consent.

We reserve the right to suspend or terminate accounts that violate these terms.

7. Your Content and Data

You retain ownership of all content you upload to the Service, including knowledge base documents, business information, and configurations ("Your Content"). You grant us a limited licence to use Your Content solely for the purpose of providing and improving the Service.

Call recordings and transcripts generated through the Service belong to you. You are responsible for complying with applicable laws regarding call recording, including obtaining necessary consents from callers where required.

We do not use Your Content or call data to train AI models or for any purpose other than delivering the Service to you.

8. Phone Numbers

Phone numbers provisioned through the Service are provided by our telephony partner (Twilio) and remain their property. You are granted a licence to use these numbers for the duration of your subscription. Phone numbers may be released if your subscription lapses or your account is terminated.

You are responsible for complying with Ofcom regulations and any other applicable telecommunications regulations in your jurisdiction.

9. Service Availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance.

We are not liable for any loss or damage arising from service interruptions, including missed calls or chat messages during downtime.

10. Limitation of Liability

To the maximum extent permitted by law:

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

We are not responsible for the accuracy of AI-generated responses or any decisions made based on information provided by the AI receptionist.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

11. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by Ruposhi Global Limited and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our written consent.

12. Termination

You may cancel your account at any time through your account settings or by contacting us. We may suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or if we reasonably believe your use of the Service is harmful.

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be deleted in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
